Terms of Service

1. Agreement to Terms
By accessing or using the services provided by Aevolve ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a business, you represent that you have the authority to bind that business to these terms.
2. Services
Aevolve provides done-for-you AI voice agent and automation services for businesses, including but not limited to:
- AI-powered phone answering and call routing
- Appointment booking and calendar management
- Lead qualification and scoring
- CRM integration and data synchronization
- Automated follow-up sequences and campaigns
- Custom AI agent and workflow development
3. Account and Onboarding
You are responsible for providing accurate business information during onboarding, including business hours, service menu, routing rules, and CRM credentials. You must maintain the security of any account credentials and promptly notify us of any unauthorized access.
4. Fees and Payment
- Setup Fee: A one-time setup fee is charged at the start of the engagement. This covers AI agent configuration, CRM integration, call flow setup, and testing.
- Monthly Fee: A recurring monthly fee is charged on the same date each month. Monthly fees are billed in advance.
- Payment Terms: All fees are due upon invoice. We accept major credit cards and ACH transfers. Late payments may result in service suspension after 15 days written notice.
- No Hidden Fees: There are no per-minute charges, overage fees, or additional costs beyond your agreed plan pricing.
5. Cancellation
You may cancel your subscription at any time with 30 days written notice. Upon cancellation:
- Service continues through the end of your current billing period
- No cancellation fees apply
- Setup fees are non-refundable
- Your data (call logs, recordings, configurations) will be available for export for 30 days after cancellation
- After 30 days, all data is permanently deleted
6. Service Level
We target 99.9% uptime for our AI voice agent services. Scheduled maintenance windows will be communicated at least 48 hours in advance and scheduled during low-traffic periods. If we fail to meet our uptime commitment in any calendar month, you may request a pro-rated credit for the affected period.
7. Your Responsibilities
- Comply with all applicable laws regarding call recording and AI disclosure in your jurisdiction
- Ensure your use of our services complies with telecommunications regulations, including FCC rules
- Not use our services for outbound robocalling, spam, or any purpose that violates applicable law
- Provide accurate and current business information for AI agent training
- Promptly notify us of any changes to your business hours, services, or routing rules
8. Call Recording Disclosure
Many jurisdictions require caller consent for call recording. We configure AI agents to include appropriate disclosure language at the start of each call. You are responsible for ensuring the disclosure language complies with the laws of every jurisdiction from which you receive calls. We provide guidance on common requirements but do not provide legal advice.
9. Intellectual Property
We retain ownership of our AI technology, software, and proprietary systems. You retain ownership of your business data, call recordings, and customer information. Custom AI agents and workflows built for you are licensed for your use during the term of your subscription. Generic improvements to our platform derived from your usage belong to us.
10. Data Processing
We process your data as described in our Privacy Policy. For healthcare clients, we will execute a Business Associate Agreement (BAA) to ensure HIPAA compliance. You authorize us to access and process data through your connected CRM and scheduling tools as necessary to provide our services.
11. Limitation of Liability
To the maximum extent permitted by law, Aevolve's total liability for any claims arising from these terms or our services is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue from missed calls or AI errors.
12. Indemnification
You agree to indemnify Aevolve from any claims arising from your use of our services in violation of these terms, your violation of applicable laws, or any third-party claims related to your business operations.
13. Modifications
We may modify these terms with 30 days written notice. Continued use of our services after the notice period constitutes acceptance of the updated terms. Material changes affecting pricing will not apply until your next billing cycle.
14. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
